These Terms of Service (“Terms”) are a legally binding agreement between you and Prospect House Events, LLC (“Prospect House,” “we,” “us,” or “our”) governing your access to and use of https://prospecthouse.live and related online interfaces we operate (the “Site”).
By accessing the Site, submitting information, or clicking to accept these Terms, you agree to these Terms and to our Privacy Policy.
If you do not agree, do not use the Site.
1. Who we are
The Site is operated by Prospect House Events, LLC. 3324 Group, LLC is an affiliate.
These Terms cover the Site. They do not replace:
- Any third-party ticketing or payment terms that apply to a transaction (see Section 5)
- Venue rules
- Event-specific door, dress, age, or conduct rules
2. Eligibility
You represent that you are at least 18 years old and have the legal capacity to enter this agreement.
Some events are 21+. Age limits for a given event are stated on that event or ticket page.
3. The Site is a guest gateway
The Site is the primary online gateway for Prospect House guests. It may be used to learn about events, submit contact information, join lists, RSVP, or start a ticket purchase.
Submitting information or joining a list does not guarantee a ticket, entry, a plus-one, or any hospitality.
4. License and ownership
We grant you a limited, revocable, non-exclusive, non-transferable license to use the Site for lawful personal purposes as a prospective or actual guest.
The Site and all content, trademarks, logos, text, design, photography, video, and other materials are owned by Prospect House Events, LLC or our licensors. You may not copy, scrape, frame, reverse engineer, or commercially reuse the Site or its content except as allowed by these Terms or by mandatory law.
5. Tickets and third-party payment processing
Ticket purchase flows on the Site may use third-party ticketing and payment infrastructure, including payments, ticket issuance, and related checkout processing.
When you buy a ticket:
- You are buying admission to a Prospect House event, subject to these Terms and any event-specific terms
- You may also be entering a transaction processed by a third-party ticketing or payment provider
- That provider's terms and privacy policy may apply to payment processing, ticket delivery, refunds, chargebacks, and handling of payment data
We are not a bank or payment processor. Pricing, fees, and refund rules shown at checkout control the purchase. Tickets are non-refundable.
A completed purchase is required for ticketed entry. Appearance on a marketing list is not entry.
6. Your information
If you submit a name, email, phone number, or other information, you represent that it is accurate and that you have the right to provide it.
By submitting information, you consent to be contacted by Prospect House Events, LLC and 3324 Group, LLC as described in the Privacy Policy, including email and SMS, and you acknowledge we reserve the right to call the number you provide.
The Site may use cookies, local storage, server logs, and similar technologies as described in our Privacy Policy and Cookie Settings. Optional analytics may be used to understand Site usage, referrals, and form interactions where enabled or permitted.
7. Acceptable use
You agree you will not:
- Use the Site for any unlawful purpose
- Submit false, misleading, or another person’s information without authority
- Impersonate any person or entity
- Interfere with or disrupt the Site, our systems, service-provider integrations, or other users
- Probe, scan, or test the vulnerability of the Site or related systems without our prior written permission
- Circumvent rate limits, CAPTCHAs, authentication, or other access controls
8. Anti-botting
Automated access is prohibited except for public search-engine indexing of publicly available pages.
You may not, without our prior written consent:
- Use bots, scrapers, crawlers, spiders, scripts, or other automated means to access, query, or collect data from the Site
- Harvest emails, phone numbers, or other personal information
- Credential-stuff, brute-force, or enumerate forms or accounts
- Create fake identities or mass-submit forms
- Overwhelm or burden infrastructure
- Use the Site to send spam or unsolicited communications
We may rate-limit, block IP addresses or devices, drop submissions, disable features, and pursue any available legal remedy.
9. Security
You may not upload, post, transmit, or introduce any virus, worm, ransomware, spyware, corrupted file, or other malicious or harmful code.
You may not attempt to gain unauthorized access to the Site or any related systems.
You are responsible for the security of your own devices and network. We do not warrant that the Site will be uninterrupted, error-free, or free from harmful code.
10. Third-party services and links
The Site may link to or integrate social media, venues, maps, ticketing, communications, payment, or other third-party services. Those services are governed by their own terms and privacy policies. We are not responsible for third-party sites or services.
11. Events
Website use is not event admission.
Event date, venue, lineup, age limit, dress code, search policy, capacity, and whether photography or recording is allowed may change. We may refuse or revoke entry, cancel or modify an event, or relocate an event as we reasonably determine.
Separate venue and event rules apply on site. Those rules control over these Terms if they conflict on a door or safety issue.
12. As-is; no warranties
THE SITE IS PROVIDED “AS IS” AND “AS AVAILABLE.”
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROSPECT HOUSE EVENTS, LLC, 3324 GROUP, LLC, AND THEIR MEMBERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND VENDORS DISCLAIM ALL REPRESENTATIONS AND WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND UNINTERRUPTED OR ERROR-FREE OPERATION.
WE DO NOT WARRANT THAT THE SITE IS FREE OF MALWARE, BOTS, OR SECURITY VULNERABILITIES, OR THAT DEFECTS WILL BE CORRECTED.
SOME JURISDICTIONS DO NOT ALLOW CERTAIN DISCLAIMERS. IN THOSE JURISDICTIONS, OUR DISCLAIMERS APPLY TO THE FULLEST EXTENT PERMITTED.
13. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROSPECT HOUSE EVENTS, LLC, 3324 GROUP, LLC, AND THEIR MEMBERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND VENDORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SITE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SITE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) ONE HUNDRED DOLLARS (US $100) OR (B) THE AMOUNTS YOU PAID TO PROSPECT HOUSE EVENTS, LLC FOR WEBSITE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE CLAIM.
THIS LIMITATION DOES NOT LIMIT LIABILITY THAT CANNOT BE LIMITED UNDER NEW YORK LAW.
14. Indemnity
You will defend, indemnify, and hold harmless Prospect House Events, LLC, 3324 Group, LLC, and their members, officers, employees, contractors, and vendors from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Site; (b) information you submit; (c) your violation of these Terms; (d) your violation of law; or (e) your conduct at a Prospect House event to the extent it arises from your misuse of the Site (for example, fraudulent RSVPs or resale schemes initiated through the Site).
15. Suspension and termination
We may suspend or terminate access to the Site at any time, with or without notice, including if we believe you violated these Terms or present a security, fraud, or operational risk.
Sections that by their nature should survive (including ownership, disclaimers, limitation of liability, indemnity, and governing law) survive termination.
16. Changes to the Site and to these Terms
We may change the Site or these Terms at any time. Updated Terms will be posted on the Site with a new effective date. Continued use after an update constitutes acceptance.
17. Miscellaneous
These Terms, together with the Privacy Policy, are the entire agreement between you and us regarding the Site.
If a provision is unenforceable, all other provisions remain in full effect.
Our failure to enforce a provision is not a waiver.
You may not assign these Terms without our consent. We may assign them.
Headings are for convenience only.
We may seek injunctive or other equitable relief to stop unauthorized use of the Site, scraping, malware, or infringement, without posting a bond to the extent permitted by law.
18. Governing law
These Terms are governed by the laws of the State of New York, without regard to conflict-of-law rules, except that the Federal Arbitration Act governs the interpretation and enforcement of Section 19.
19. Binding arbitration and class-action waiver
Please read this section carefully. It requires most disputes to be resolved by individual arbitration and limits the relief you can seek in court.
Informal resolution first
Before starting arbitration or a lawsuit that is not subject to arbitration, the complaining party must send a written notice describing the dispute, the facts, and the relief sought. Send notices to Prospect House Events, LLC at contact@prospecthouse.live and 228 Park Avenue South, #142664, New York, NY 10003. We will send notices to the email address we have on file for you.
The parties will try in good faith to resolve the dispute for 30 days after notice is received. If it is not resolved, either party may begin arbitration.
Agreement to arbitrate
Except as provided below, you and Prospect House Events, LLC agree that any dispute, claim, or controversy arising out of or relating to the Site, these Terms, the Privacy Policy, or any communications or transactions connected with the Site — including the validity, enforceability, or scope of this arbitration agreement — will be resolved by binding individual arbitration, not in court.
This agreement is made pursuant to a transaction involving interstate commerce and is governed by the Federal Arbitration Act, 9 U.S.C. § 1 et seq.
Rules, seat, and forum
Arbitration will be administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules (or, if those rules are unavailable, under the AAA rules then applicable to consumer disputes). The AAA rules are available at www.adr.org.
The seat of arbitration is New York, New York. Hearings may be held in New York County, New York, by video, or by written submission, as the AAA rules allow and as the arbitrator determines is appropriate.
The arbitrator may award any individual relief that a court could award, including injunctive or declaratory relief limited to you. The arbitrator’s award is final and binding, except as the Federal Arbitration Act permits review. Judgment on the award may be entered in any court of competent jurisdiction.
Costs
Filing, administrative, and arbitrator fees will be allocated as the AAA Consumer Arbitration Rules provide. We will not seek our attorneys’ fees from you in arbitration unless the arbitrator finds your claim or the manner of pursuing it was frivolous or brought in bad faith.
Class-action and representative-action waiver
You and we agree to arbitrate only in our individual capacities. You may not bring a claim as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate claims of more than one person or preside over any form of class, collective, or representative proceeding.
If a court or arbitrator finds this waiver unenforceable as to a particular claim or request for relief, that claim or request for relief (and only that claim or request) may proceed in court, and the rest of this Section 19 still applies.
Mass filings
If 25 or more similar demands for arbitration are filed against us by or with the same or coordinated counsel, AAA’s Mass Arbitration Supplementary Rules (or successor rules) will apply to the extent consistent with this Section 19.
Exceptions — small claims and injunctive relief
Either party may bring an individual action in small-claims court in New York County, New York, if the claim qualifies.
We may seek temporary, preliminary, or permanent injunctive relief in the state or federal courts located in New York County, New York, to stop unauthorized use of the Site, scraping, botting, malware, security attacks, or infringement of intellectual property. That court action does not waive the right to arbitrate other claims.
Opt out
You may opt out of this Section 19 by emailing contact@prospecthouse.live from the email address you used on the Site within 30 days of first accepting these Terms. The email must include your full name, the email and phone number you submitted, and a clear statement that you opt out of arbitration. Opting out does not affect any other part of these Terms. If you opt out, disputes that are not resolved informally will be heard exclusively in the state or federal courts located in New York County, New York.
Survival
This Section 19 survives termination of these Terms and your use of the Site.
